Welcome to FND Engineering. These Terms of Service ("Terms") govern your access to and use of the FND Engineering website, APIs, email alert systems, and related services (collectively, the "Services") provided by FND Engineering LLC ("we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Nature of the Service and Disclaimer of Data Accuracy

FND Engineering provides a technological infrastructure that parses, aggregates, and delivers alerts regarding publicly and privately listed industrial assets, heavy machinery, and engineering equipment auctions. We do not host the auctions, we do not own the assets, and we do not facilitate the actual sale or bidding process.

• Third-Party Data: All data regarding pricing, asset condition, and availability is sourced from third-party platforms (e.g., government liquidation sites, private auction houses). We do not verify the accuracy, legality, or safety of the items listed.
• No Financial Advice: The alerts provided by our Service do not constitute financial, investment, or legal advice. You are solely responsible for conducting your own due diligence before placing any bids or transferring funds based on our alerts.

2. Account Registration and Security

To use our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

• You are responsible for safeguarding your password and API keys. You agree not to disclose your password or API keys to any third party.
• You are fully responsible for all activities that occur under your account, whether or not you authorized that activity.
• You must immediately notify FND Engineering of any unauthorized use of your account.

3. Subscription, Billing, and Refunds

Access to premium alert features requires a paid subscription.

• Billing Cycle: Subscription fees are billed on a recurring, periodic basis (monthly or annually) in advance.
• Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing cycle.
• No Refunds: Because of the nature of digital data services and instant alerts, all fees paid are strictly non-refundable. If you cancel, you will retain access to the Service until the end of your paid billing period.

4. API Usage and Rate Limits

If your subscription tier includes API access, you are granted a limited, non-exclusive, non-transferable license to use the API solely for your internal business purposes.

You agree to adhere to all rate limits associated with your account tier. Automated bidding scripts, abusive polling frequency, or attempting to reverse-engineer our parsing algorithms will result in immediate API key revocation and account termination without refund.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FND ENGINEERING LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services;
• Any conduct or content of any third party on the Services, including auction houses or liquidators;
• Any missed bids, lost auctions, or financial losses resulting from delayed email delivery, regardless of our Service Level Agreement (SLA).

In no event shall our aggregate liability for all claims relating to the Services exceed the greater of $100 USD or the amount you paid us in the past twelve (12) months.

6. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms or our Acceptable Use Policy (AUP). Upon termination, your right to use the Services will immediately cease.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Travis County, Texas.
